Terms of Use of jinjer

Article 1 (General Provisions)

1. These terms of use of jinjer (hereinafter referred to as the “Terms") set forth the terms and conditions concerning the use of jinjer, the system of which Neo Career Co., Ltd. (hereinafter referred to as “NC”) shall have the right and provide the system (hereinafter simply referred to as the “jinjer"). Any companies to use jinjer (hereinafter referred to as the “Company”) shall be pursuant to these Terms.

2. The Company shall be considered to have agreed to these Terms by the start of using jinjer, and under such conditions, the service agreement concerning the use of jinjer which is made and entered into by and between NC and the Company (hereinafter referred to as the “Agreement”) shall be deemed to have concluded. The Agreement shall be respectively concluded for each function which is provided by jinjer.

3. NC may revise, add or delete these Terms without prior notice. In such case, NC shall announce the Terms after the amendment on the following URL; https://hcm-jinjer.com/terms/
The Company shall be considered to have agreed to the amendment of Terms when using jinjer after such amendment.

Article 2 (Functions)

jinjer’s function, of which NC set forth separately, shall provide supports for the Company’s recruiting and hiring operations.

Article 3 (Fees)

The Company may use jinjer for free of charge, provided, however, that NC may change it to chargeable at NC’s sole discretion by sending prior notice to the Company.

Article 4 (Rights of Use)

1. NC shall give the Company the nontransferable and non-exclusive rights to use jinjer pursuant to these Terms.

2. The Company may give its executive officers, employees and any person(s) equivalent to employees (hereinafter collectively referred to as “User Company etc.)” the rights to operate jinjer. The equivalent of employees shall be limited to the persons who are working in the Company’s office and engaged in supplemental work for the Company.

3. As to the rights of use given to the Company as set forth in the preceding Paragraph, the Company shall not transfer, sell, lend or perform the similar acts to a third party.

4. The Company shall not duplicate, modify or analyze the software constituting jinjer, or develop programs of which to modify the data of such software.

5. In case the Company is a direct competitor of NC, NC shall not give such Company the rights to use jinjer unless NC approved.

Article 5 (ID and Password)

1. NC shall give the Company a set of ID and Password necessary for using jinjer (hereinafter referred to as the “ID, etc.”). ID, etc. shall be given for each function of jinjer.

2. The ID, etc. which are given by NC to the Company shall be handled only by the executive officers, employees, and other persons who are engaged in the Company. The names, departments, contact addresses and any other information of the users of the ID, etc., that NC considered as necessary shall be registered. In case of changing the registered information, the same proceedings shall be applied.

3. NC may change the ID, etc. which have been given to the Company with a prior notice to the Company.

4. The Company shall be responsible for the strict management of the given ID, etc. and shall not transfer or lend ID, etc. to a third party or let a third party to log in to jinjer by using ID, etc.

5. To the extent the Company access jinjer by using legitimate ID, etc. provided by NC to the Company, NC shall deem such operation and access as legitimate.

Article 6 (Personal Information)

1.NC shall properly handle the personal information (information relating to a living individual of those containing a name, date of birth, or other descriptions etc., whereby a specific individual can be identified (including those which can be readily collated with other information and thereby identify a specific individual), including the information that the Company has stored in jinjer. The same shall apply hereinafter) provided by the Company pursuant to the privacy policy posted on NC’s Website.

2. For handling of personal information for using jinjer, NC and the Company shall appoint persons in charge of managing personal information, and shall take necessary measures to prevent accidents such as leakage, loss, alteration, prejudice, etc. of personal information.

Article 7 (Use of Information)

1. Within the personal information and the business information of which the Company has stored through jinjer, NC may use a part of information whereby no specific individual or the Company can be identified as statistical information, and the Company shall agree on such use.

2. For storing personal information to jinjer, the Company shall inform the holder of such personal information the methods of use of the statistical information described in the preceding Paragraph and obtain consent in advance.

3. In case the Company or NC received complaints or a like from the holder of personal information despite the statistical information of which NC uses is within the limit set forth in Paragraph 1, Article 6, the Company shall solve such complaints at its own expense and responsibility and shall keep NC out of any trouble.

Article 8 (Prohibitions)

As to the use of jinjer, the Company shall be prohibited from engaging in the following acts;

1. to use jinjer for the purposes other than the purpose of use of the Company itself,

2. to transfer or lend the rights of using jinjer,

3. to let a third party to use jinjer,

4. to leak the information obtained by using jinjer to a third party,

5. to provide any service that is identical or similar to jinjer to a third party,

6. to use jinjer for the purposes of measuring, comparing, searching, or alike, of availability, capability, function and Interface of jinjer.

Article 9 (Stop or Suspension of jinjer)

1. NC may stop or suspend the operation of jinjer for the maintenance of system of jinjer.

2. NC may stop or suspend all or part of the function of jinjer without prior notice to the Company in case of any of the following items:
(1) when there is an emergency need for maintenance, repair, equipment replacement, etc. of jinjer
(2) when an unexpected situation such as natural disaster, riot, war, strikes, etc., occurred
(3) when the interruption of power supply by the electric power company, the failure of communications such as Internet provided by telecommunications carriers or the defects in the external system in cooperation (including but not limited to “e-Gov”) occurred
(4) or when NC determined it is necessary to stop or interrupt.

Article 10 (Termination of jinjer)

NC may terminate operation of jinjer at NC’s sole discretion at any time. In this case, NC shall send prior notice to the Company.

Article 11 (Compensation)

1. NC shall have no responsibility whatsoever, regardless of negligence or willful misconduct of NC, for any damages to the Company incurred by the system failure, stop, suspension or alike of jinjer.

2. NC shall have no responsibility whatsoever in case the Company violated any provisions of these Terms and suffered damages as a consequence of such violation.

3. The Company shall be liable for compensation for damages if the Company violated any provisions of these Terms and caused damages to NC or a third party.

4. In case jinjer is unavailable due to the reasons described in Article 9 or Article 10, and incurred damages to the Company as a result, NC shall have no responsibility whatsoever, and the Company shall have no right to claim for damages whatsoever incurred.

5. The Company shall back up the necessary data on its own responsibility. NC shall have no responsibility whatsoever for the loss or the corruption of data the Company stored on jinjer due to stop, suspension, termination or alike of jinjer.

Article 12 (Conditions after Termination of Agreement)

1. In case of the termination of the Agreement, NC shall nullify the ID, etc. which has been given to the Company. Within the remaining data of the Company on the server, NC shall erase the data whereby a specific individual or user can be identified.

2. The Company shall back up the necessary data on its own responsibility. NC shall have no responsibility for the loss of data due to the erasing of the Company’s data pursuant to the preceding Paragraph.

3. The Company shall return immediately, or destroy with consent from NC, the manuals, including copies, of jinjer of which the Company has obtained upon the use of jinjer, after the termination of the Agreement.

Article 13 (Data Storage Period)

1. In case of using jinjer, the each user’s attendance and leaving data entered into jinjer shall be stored on NC’s server for three (3) years from the date of enter.
2. The data storage period set forth in the preceding Paragraph shall be applied regardless of whether or not the user is continuing the use of jinjer at the time of three (3) years after the date of enter.

3. Regardless of Paragraph 1 and 2, if the Company terminated the use of jinjer before three (3) years since the date of enter, the data shall be erased from the server as of the date of such termination of use without waiting for the completion of the period.

4. Regardless of the data storage period, NC may continue to use the information whereby no specific individual or the Company can be identified pursuant to Article 6.

Article 14 (Termination)

1. NC may terminate the Agreement if the Company violated any provisions of these Terms and failed to remedy such breach within a set period being requested by NC for such rectification.

2. NC may immediately terminate the Agreement without prior notification if the Company falls under any of the following items;
(1) Writing or receiving a bad check, or suspension of payment being ordered.
(2) Disposition of delinquency for tax and public dues being executed.
(3) Being seized, sequestrated, auctioned, other public authority being exercised, bankruptcy, civil rehabilitation or corporate reorganization proceedings being initiated, or virtually closing its business.
(4) Other than those items above, objectively and obviously worsening its financial condition or managing status.
(5) Being ordered to close its business or withdrawn its business permit by regulatory authorities.
(6) Deciding to dissolve the company not by mergers.
(7) Other than those above, losing social credibility.

3. Termination executed by this Article shall not preclude the claim for damage (including legal fees) against the Company which is to blame for.

4. If any of the events indicated in any items of Paragraph 1 or 2 should occur, the Company which is to blame for loses the benefit of term and the rest of its debt shall become immediately due and payable in one payment.

Article 15 (Elimination of Antisocial Forces)

1. From the past five (5) years to present, both parties express that they themselves or their executive officers are not members of any gangs, gang-related companies, corporate extortionists, political racketeering organizations, organized crime syndicates or groups alike (hereinafter referred to as “Antisocial Forces”), none of the following items apply, and agree that they will never take part in such groups for years to come.
(1) To let Antisocial Forces control over the management
(2) To make Antisocial Forces virtually involved in the management
(3) To unjustly use the power of Antisocial Forces in order to illegally obtain profits for the party itself or a third party, or cause damage to a third party
(4) To provide funding or extend facilities to Antisocial Forces
(5) (executive officers or persons virtually involved in the management) To have socially accusable relationships with Antisocial Forces

2. Each party agrees not to exercise the following items by choice or using a third party.
(1) Violent demands
(2) Unreasonable demands beyond legal liabilities
(3) Threatening behaviors or violent acts to business matters
(4) Tarnishing the other party’s credibility or interfering with the other party’s business by spreading false information, use of fraudulence or authority
(5) Other actions similar to the preceding items

3. If either party violates the terms indicated in Paragraph 1 or commit the acts mentioned in the preceding Paragraph, the other party has the right to terminate the Agreement immediately.

Article 16 (Force Majeure)

Neither party shall be liable for an event which results in failure in the performance of all or part of obligations under these Terms on account of reasons, such as natural disasters, which are not attributable to such party.

Article 17 (Severability)

If any of the provisions or parts thereof set forth in these Terms have been ruled invalid or unenforceable, then remaining parts of these Terms shall continue to remain in full force and effect and NC and the Company will revise those invalid or unenforceable provisions or parts thereof so as to make them lawful or enforceable or otherwise apply a reasonable interpretation that is closest to the intention of the invalid or unenforceable provisions or parts.

Article 18 (Governing Law and Jurisdiction)

1. These Terms or the use of jinjer shall be governed by and construed under the laws of Japan.

2. In the event of any dispute arising out of these Terms or related to the use of jinjer, both parties agree that the Tokyo District Court or the Tokyo Summary Court shall have the exclusive jurisdiction for the first trial over any lawsuit.

Article 19 (Governing Language)

English shall be the definitive and controlling text of these Terms, notwithstanding the translation of these Terms into any other language.

Article 20 (Consultation)

With respect to matters of doubt under these Terms, or not stipulated in these Terms, both parties shall consult with each other in accordance with the principle of good faith and resolve themselves amicably.
